The general terms and conditions apply to all agreements and orders with Advanced Sealing Technology B.V. (AST). All offers are non-binding and valid for 30 days, excluding VAT and additional costs. Final prices may vary based on buyer specifications. Delivery times are estimates, and AST is not liable for delays beyond its control. Buyers must inspect goods immediately upon delivery and report any defects within specified timeframes. AST chooses the transport method if none is specified. Transport costs are borne by the buyer.

Prices are based on current rates and exclude VAT and other costs. Payments are due upon delivery or within 30 days of the invoice date. Late payments incur interest and additional charges. AST retains ownership of goods until full payment is received. Buyers are liable for all collection costs if they fail to pay on time. If the contract is terminated, the buyer must compensate AST for incurred costs and damages. AST’s liability for damages is limited to the invoice amount or insurance payout, whichever is lower.

Buyers indemnify AST against third-party claims related to intellectual property. Buyers must check for viruses or defects in electronic files. AST is not liable for obligations hindered by unforeseen circumstances. Provided samples or models are indicative unless otherwise agreed in writing. Dutch law governs all agreements, and disputes are resolved in AST’s jurisdiction unless otherwise mandated by law. AST reserves the right to change these terms without notice.
